NGĀTI RANGINUI FISHERIES TRUST – 2026 SPECIAL GENERAL MEETING

 

Notice is hereby given that a Special General Meeting (SGM) of Ngāti Ranginui Fisheries Trust will be held for the purpose of considering and voting on proposed amendments to the Ngāti Ranginui Fisheries Trust Deed.

Purpose of the Meeting

The Trustees have undertaken a review of the current Trust Deed to ensure the Trust remains compliant with legislative requirements and continues to operate effectively into the future.

 

Members will be asked to consider and vote on the following resolutions.

 

Resolution 1 – Statutory Compliance Amendments

 

To approve amendments to the Ngāti Ranginui Fisheries Trust Deed required to ensure continued compliance with the Māori Fisheries Amendment Act 2024 and maintain the Trust’s legal compliance as a Mandated Iwi Organisation under fisheries legislation.

 

Resolution 2 – Governance Modernisation and Future-Proofing Amendments

 

To approve additional amendments to the Trust Deed designed to strengthen and future-proof governance operations of the Trust, including amendments relating to:

  • modern communication and notice provisions
  • digital governance and administrative processes
  • governance capability strengthening
  • future leadership development and participation pathways

Resolution 3 – Authority to Implement Approved Amendments

To authorise the Trustees to execute a Deed of Amendment and undertake all actions necessary to give legal effect to those amendments approved by members at this Special General Meeting under Resolution 1 and, where approved, Resolution 2.

For members wishing to understand the proposed changes in more detail prior to the Special General Meeting, information wānanga will be held before the meeting.

Voting Information

Voting on the proposed resolutions will be conducted in accordance with the Ngāti Ranginui Fisheries Trust Deed and Schedule 1 voting provisions.

 

Approval requires a 75% majority of valid votes cast by eligible members.

Voting papers will be distributed directly to eligible members at the SGM.
